Trust AgreementThis is a trust agreement between PrivateWeb, hereafter, Trustee, and domain "owner", hereafter, Grantor and / or Beneficiary, depending on usage.
If Grantor has chosen to enter into a trust agreement, Trustee agrees to hold legal registration of Domain, hereafter called Trust Property, in trust for Beneficiary. If Grantor has NOT chosen to enter into a trust agreement, Grantor will continue to hold registration, but has permission to use the contact information of PrivateWeb. Grantor agrees to operate Trust Property legally and to honor all agreements with domain registrars and hosts, and will indemnify Trustee and hold Trustee harmless against any and all damages or loss due to illegal operation of Trust Property or any breach of contract with any person.
All parties agree to keep confidential all information regarding this agreement. Should any party reveal any confidential information to any unrelated party, they agree to pay the amount of five hundred million Costa Rican colones (500,000,000) as liquidated damages to the other parties for such breach, and shall require any 3rd party requiring disclosure to pay this amount before disclosing information.
This agreement can be terminated at any time by either Trustee or Grantor, for any reason. Upon termination, Trustee will return trust property to Grantor after receipt of any amounts due, and Grantor will cease using Trustee's contact information.
eMediate shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability or formation of this contract, including, but not limited to any claim that all or any part of this contract is void or voidable, according to its rules current at the time the dispute is filed. Any dispute or claim filed in a public court or other private court is a breach of this contract and is grounds for immediate dismissal of the claim wrongly filed. A final decision and award by eMediate is binding and can be filed wherever required to effect an end to the controversy and secure just compensation.
